Terms and Conditions of Service | Srev Evolution Pvt Ltd

1. Scope of Agreement & Engagements

These Terms and Conditions constitute a legally binding agreement between Srev Evolution Pvt Ltd ("Company", "we", "our") and the client ("Client", "you"). All software engineering, mobile application development, digital marketing, website maintenance, and consulting projects are executed in accordance with these Terms and the mutually approved Technical Requirement Document (TRD) or Statement of Work (SOW).

2. Intellectual Property & Source Code Ownership

We respect intellectual property integrity:

Client Ownership: Upon receipt of 100% full settlement of all contractual milestone invoices, full ownership of custom code, database structures, UI graphics, and unique deliverables transfers entirely to the Client.
Pre-existing Frameworks: Any reusable core utilities, boilerplate components, or open-source libraries (e.g., Laravel, React, Flutter, Bootstrap) utilized remain subject to their respective MIT or standard open-source licenses.
Zero Proprietary Lock-in: Srev Evolution Pvt Ltd will never withhold domain DNS, server credentials, or repository access once milestone accounts are settled.

3. Milestone Schedules & Payment Terms

Unless otherwise agreed in a customized written enterprise SOW, software and web engineering payments follow our standard milestone structure:

30% Advance Deposit: Payable prior to project initiation, requirement discovery, and UI/UX design.
40% Mid-Development Milestone: Payable upon staging server demo of functional backend modules and core database workflows.
30% Final Release Milestone: Payable upon User Acceptance Testing (UAT), production server rollout, and source code handover.

Invoices are subject to applicable Goods and Services Tax (GST 18%) under Indian tax laws.

4. Warranty & Post-Launch Maintenance

Every delivered custom software application and website includes a complimentary 30-day bug-fixing warranty starting on the date of production launch. This covers fixing defects or discrepancies that deviate from the agreed TRD. Extended Annual Maintenance Contracts (AMC) and 24/7 dedicated SLA support are available under separate service agreements.

5. Confidentiality & Non-Disclosure

Both parties agree to treat all business data, student/patient records, commercial pricing, algorithms, and strategic concepts as strictly confidential. Srev Evolution Pvt Ltd enforces strict access controls ensuring client data is never shared with third parties or unvetted contractors.

6. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute, proceeding, or claim arising out of or related to these Terms or software development contracts shall be subject to the exclusive jurisdiction of the competent courts in Patna, Bihar, India.
